The Coop attended yesterday's conference at the request of Audrey McKenney. During the meeting, you put forth two proposals -- a wholesale "interconnect" relationship and a "retail individual cost basis" relationship. The Interconnect relationship you proposed is just like the draft agreement of two weeks ago, except that the subloop price is now $8.33 per month (you have indicated that Qwest now agrees that the subloops we wish to rent are in the "base rate area"). The installation price for subloops remains non-negotiable, as does the Quote Preparation Fee of $1707. The "retail" proposal is largely the same as the interconnect relationship, except (a) the subloop price would be in the range of $13-15 per month, (b) no insurance would be needed, and (c) the initial installation of subloops would be less than $126 each. The reason given for Qwest dropping the insurance requirement is that in the "retail" proposal, Qwest would install a protector between the cross-connect box and the Coop's DSLAM. You also indicated that Qwest was in the midst of internal discussions to decide whether the need for insurance could likewise be dropped in the "interconnect" proposal. We have scheduled another conference call for 9AM on Thursday, August 30, at which time Qwest will have an answer to the question whether Qwest can drop the insurance requirement for the "interconnect" proposal. The Coop has proposed that the Coop would (a) pay for a protector to be installed in the "interconnect" relationship; (b) provide waivers from the Coop's member-subscribers waiving DSL-related claims against Qwest; (c) provide interconnect language that the insurance requirement is triggered if (a) the Coop seeks to collocate equipment in Quest facilities, or (b) the Coop seeks to \have metallic connection with Qwest central office equipment. These three conditions are, it is hoped, sufficient for Qwest to drop the insurance requirement for the "interconnect" proposal. If Qwest is able to agree to drop the insurance requirement for the "interconnect" proposal, then the Coop will want the conference call participants to wrap up all remaining issues with the language of the Interconnect agreement during the Thursday morning telephone call. We would expect Qwest to provide negotiating decisionmakers for that conference call so that all remaining language issues can be taken care of. Here is proposed waiver language to be signed by each Coop member-subscriber.
